IMPORTANT NOTICE — READ BEFORE USING THE PLATFORM
- Shemesh is a technology platform that connects Users with independent HPCSA and SACSSP-qualified emotional wellness Professionals.
- Shemesh is NOT a medical service, therapy service, psychotherapy service, counselling service, psychology service, or regulated healthcare service in any jurisdiction.
- Shemesh does not deliver wellness services itself — wellness services are delivered by independent contractor Professionals, not by Shemesh.
- By creating an account or accessing the Platform you confirm you have read, understood, and agree to be bound by these Terms in full.
If you are experiencing a mental health emergency, please contact emergency services immediately. Country-specific emergency numbers are provided in Clause 10.4.
1. DEFINITIONS AND INTERPRETATION
In these Terms the following words and expressions have the meanings set out below:
| "Agreement" / "Terms" | These Terms of Service together with the Privacy Policy, Cookie Policy, and any Order Form or Subscription Confirmation, all incorporated by reference. |
| "AI Features" | Any feature of the Platform that uses artificial intelligence, machine learning, or automated decision-making, including matching algorithms, summaries, sentiment analysis, or recommendations. |
| "B2C User" | An individual who subscribes to the Platform directly via Stripe. |
| "Business Day" | Any day other than a Saturday, Sunday, or public holiday in England and Wales. |
| "California Resident" | A natural person who is a resident of the State of California, USA, as defined under the California Consumer Privacy Act / California Privacy Rights Act (CCPA/CPRA). |
| "Consumer" | A User acting for purposes wholly or mainly outside their trade, business, craft, or profession. |
| "Early Termination Fee" | The fee payable on cancellation of a Multi-Month Commitment Plan prior to the end of its term, as set out in Clause 6. |
| "Employer" | An organisation that has entered into a Master Services Agreement with Shemesh and pays for Platform access on behalf of its employees or contractors. |
| "Employer-Sponsored User" | An individual who accesses the Platform pursuant to an agreement between their Employer and Shemesh. |
| "Force Majeure Event" | Any event outside a party's reasonable control, including acts of God, pandemic, cyberattack, government action, or failure of third-party infrastructure. |
| "Information of Special Sensitivity" / "ISS" | Personal data classified as "Information of Special Sensitivity" under Amendment 13 of the Israeli Protection of Privacy Law 1981, including but not limited to data relating to mental health, sexual orientation, genetic data, biometric data, criminal records, and financial information. |
| "Israeli Consumer" | A Consumer habitually resident in the State of Israel. |
| "Israeli PPL" | The Israeli Protection of Privacy Law 1981 as amended (including by Amendment 13 in force from 14 August 2025) and regulations promulgated thereunder. |
| "Multi-Month Commitment Plan" | A Subscription with a fixed minimum term of more than one (1) month, sold at a discounted rate compared to the monthly equivalent. |
| "OFAC" | The Office of Foreign Assets Control of the US Department of the Treasury. |
| "Platform" | The Shemesh website (operated at shemeshwellness.com and shemesh-therapy.com), mobile application, and all associated software, content, features, and services through which Wellness Services are accessible. |
| "Professional" / "Wellness Professional" | An independent contractor engaged by Shemesh who holds postgraduate qualifications registered with the Health Professions Council of South Africa (HPCSA) or South African Council for Social Service Professions (SACSSP) and who delivers emotional wellness sessions via the Platform in their capacity as an independent professional, not as an employee or agent of Shemesh. |
| "Restricted Jurisdiction" | Any country or territory subject to comprehensive US sanctions administered by OFAC (currently including Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, and the so-called Donetsk and Luhansk People's Republics) and any persons designated as Specially Designated Nationals (SDN) by the US government or subject to UK, EU, or UN sanctions. |

| "Stripe" | Stripe, Inc. (US payments) or Stripe Technology Europe Limited (UK/EU payments), as applicable to the User's jurisdiction. Shemesh does not store payment card data. |
| "Subscription" | The recurring paid access arrangement under which a User or Employer obtains access to the Platform and Wellness Services. |
| "Subscription Fees" | The fees payable for access to the Platform as set out in the applicable Subscription Confirmation or Order Form. |
| "UK Consumer" | A Consumer habitually resident in the United Kingdom. |
| "UK GDPR" | The UK General Data Protection Regulation as retained in UK law together with the Data Protection Act 2018. |
| "US Consumer" | A Consumer habitually resident in the United States of America. |
| "User" / "you" / "your" | Any individual who registers for an account on the Platform. |
| "Wellness Services" | The non-clinical emotional wellness sessions delivered by Professionals via the Platform. |
1.1 References to statutes include all amendments and replacements in force from time to time.1.2 Singular includes plural and vice versa. Headings are for convenience only.1.3 Where there is conflict between these Terms and any document incorporated by reference, these Terms prevail unless expressly stated otherwise.1.4 Where these Terms apply jurisdiction-specific provisions, those provisions apply to Users in that jurisdiction; conflicts are resolved in favour of the jurisdiction-specific provision for that User.
2. ACCEPTANCE OF TERMS AND FORMATION OF CONTRACT
- 2.1 By creating an account, clicking "I Accept" or equivalent, or by accessing or using any part of the Platform, you confirm you have read, understood, and agree to be bound by these Terms in full.
- 2.2 Employer-Sponsored Users are bound by these Terms in addition to any terms agreed between their Employer and Shemesh. Where there is conflict, these Terms govern your individual use of the Platform.
- 2.3 If you accept these Terms on behalf of an Employer, you warrant authority to bind that Employer and that the Employer has executed or will execute a Master Services Agreement with Shemesh prior to granting employee access.
- 2.4 These Terms constitute a legally binding contract from the moment of acceptance.
- 2.5 Amendments. Shemesh reserves the right to amend these Terms at any time. We will provide not less than fourteen (14) days' written notice of material amendments by email and/or via in-Platform notification. Continued use of the Platform after notice constitutes acceptance of the revised Terms.
3. ELIGIBILITY AND ACCOUNT REQUIREMENTS
- 3.1 You must be at least 18 years of age to use the Platform. By accepting these Terms you confirm that you are 18 years of age or older.
- 3.2 Shemesh does not provide services to persons under 18 years of age under any circumstances. Any account found to belong to a person under 18 will be immediately suspended and all associated data deleted in accordance with our Privacy Policy.
- 3.3 You must be resident or located in a jurisdiction where receiving the Wellness Services is lawful. It is your responsibility to ensure that your use of the Platform does not breach any laws applicable to you.
- 3.4 You must provide accurate, complete, and current information when creating your account and must keep such information updated. Shemesh is entitled to rely on the information you provide.
- 3.5 You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with any other person. You are liable for all activity that occurs under your account.
- 3.6 One account per individual. Multiple accounts to circumvent restrictions are prohibited and constitute material breach.
- 3.7 Sanctioned Jurisdictions. You may not access the Platform if you are (a) located in, ordinarily resident in, or a national of a Restricted Jurisdiction; (b) listed on any US, UK, EU, or UN sanctions list; or (c) otherwise prohibited from receiving services from a US-incorporated entity under applicable export control or sanctions laws. You warrant on each access that none of these applies.
- 3.8 No Competitive Use. You may not use the Platform (a) to provide services to any third party; (b) to conduct competitive research or benchmarking; (c) to develop, train, or improve any competing platform or AI/ML model; or (d) for any commercial purpose other than your own personal wellness use.
- 3.9 No Licensed Mental Health Practice — All Jurisdictions. You acknowledge and accept that the Wellness Services are not licensed mental health treatment, psychology, psychotherapy, counselling, social work, marriage and family therapy, or any other regulated clinical practice in any jurisdiction, including without limitation any US state, the United Kingdom, the State of Israel, or any other country. Professionals are not licensed in any US state, in the United Kingdom, or in the State of Israel as mental health practitioners. Wellness Services are delivered as emotional wellness coaching only, under the wellness coaching, life coaching, and emotional wellness exemptions recognised in most US states and in similar carve-outs in other jurisdictions.
4. NATURE OF THE PLATFORM AND WELLNESS SERVICES — CRITICAL DISCLAIMER

| Shemesh is a technology platform. We provide the booking, scheduling, payment, video infrastructure, and matching technology that connects Users with independent HPCSA-qualified Professionals. |
| The Wellness Services delivered via the Platform are emotional wellness sessions only. They are NOT psychotherapy, counselling, psychology, psychiatry, social work, marriage and family therapy, or any form of regulated clinical or healthcare service in any jurisdiction. |
| Professionals are independent contractors, not employees of Shemesh, and are not regulated by any UK, US state, or Israeli healthcare authority. Shemesh does not deliver wellness services itself. |
- 4.1 Platform, Not Provider. Shemesh provides a technology platform. Shemesh is not a healthcare provider, medical practice, therapy service, or regulated mental health service of any kind. Shemesh does not deliver, supervise, or control the professional content of Sessions.
- 4.2 Independent Service Delivery. All Wellness Services are provided by Professionals as independent emotional wellness professionals operating on their own account. Each Professional is responsible for the professional content, conduct, and quality of their own Sessions.
- 4.3 Not a Substitute for Clinical Care. The Wellness Services are not a substitute for professional medical advice, diagnosis, or treatment; psychotherapy; counselling; or any regulated mental health treatment.
- 4.4 Professional Scope Limitation. Although Professionals hold postgraduate qualifications and HPCSA registration in South Africa, they operate on this Platform exclusively as emotional wellness professionals. They are contractually prohibited from providing, via the Platform: clinical diagnosis, prescription advice, psychological treatment, psychotherapy, counselling, clinical risk assessment, crisis intervention beyond signposting, or any other regulated mental health or clinical service in any jurisdiction.
- 4.5 No Clinical Relationship. Nothing discussed in a Session, and no aspect of your use of the Platform, creates a clinical, therapeutic, counsellor-client, or doctor-patient relationship between you and Shemesh or any Professional.
- 4.6 No Reliance for Decisions. You use the Platform and the Wellness Services at your own risk and for informational and supportive purposes only. You will not rely on anything discussed in a Session as a basis for any medical, clinical, legal, financial, or other professional decision. Shemesh shall have no liability for any decision you make in reliance on anything discussed in a Session.
- 4.7 Outcomes. Outcomes vary between individuals. Shemesh makes no representation or warranty that Sessions will produce any particular result.
- 4.8 Non-Authorisation of Clinical Services. No Professional, employee, contractor, agent, or representative of Shemesh is authorised by Shemesh to provide, and shall not provide via the Platform, any of the following: psychological assessment, psychological treatment, psychotherapy, counselling, clinical risk assessment, crisis intervention beyond signposting, prescription or medication advice, formal psychological formulation, or any other regulated mental health, healthcare, or clinical service in any jurisdiction. If any individual associated with Shemesh purports to provide such services, those services are unauthorised and Shemesh accepts no responsibility or liability for them.
- 4.9 No HIPAA Covered Entity Status (US Users). Shemesh is not a "Covered Entity," "Business Associate," or "Healthcare Provider" as those terms are defined under the US Health Insurance Portability and Accountability Act (HIPAA) and its implementing regulations. The Wellness Services are not healthcare services within the meaning of HIPAA. Shemesh does not bill US health insurance, Medicare, Medicaid, or any other healthcare payer. Users should not assume that HIPAA protections apply to information disclosed during Sessions or to data stored on the Platform. Data protection is governed by Clause 12 and the Privacy Policy.
- 4.10 Mental Health Emergency Protocol. If you experience a mental health emergency during your use of the Platform, stop your session immediately and contact emergency services in your country:
- United Kingdom: 999 (Emergency); 116 123 (Samaritans, 24/7, free); 0300 123 3393 (Mind)
- United States: 911 (Emergency); 988 (Suicide & Crisis Lifeline, 24/7, free)
- Israel: 101 (Magen David Adom Emergency); 1201 (ERAN Emotional First Aid, 24/7, free); *5400 (Sahar Crisis Line)
- Other countries: contact your local emergency services
4A. AI FEATURES
- 4A.1 The Platform may include AI Features that generate matching outputs, summaries, quality signals, recommendations, or other automated outputs based on User-provided data, Session metadata, questionnaire responses, or related information. Sessions are not recorded by Shemesh, and AI Features will not analyse Session audio or video content unless explicit additional consent is obtained via a separate consent flow.
- 4A.2 AI-generated outputs are intended to support the operation of the Platform. They do not constitute professional advice and shall not be relied upon as such.
- 4A.3 Shemesh may use anonymised, de-identified, and aggregated data to train, improve, or evaluate AI Features. We do not sell your personal data and will not use identifiable Session content to train any third-party AI model without your explicit consent.
- 4A.4 You may opt out of AI Features via your account settings where available.
- 4A.5 Right to Human Review. (a) UK Users: Under UK GDPR Article 22, where AI is used to make a decision producing a legal or similarly significant effect, you may request human review. (b) Israeli Users: Under Amendment 13 of the Israeli PPL, where automated decision-making is used in connection with ISS, you have similar rights to transparency, explanation, and human review. (c) US Users (California): Under CPRA, California Residents have rights regarding automated decision-making technology as those rights become effective under regulation.
5. STATUS OF PROFESSIONALS — INDEPENDENT CONTRACTORS
- 5.1 All Professionals are independent contractors of Shemesh. They are not employees, workers, agents, partners, joint venturers, or representatives of Shemesh for any purpose.
- 5.2 Shemesh does not employ Professionals, does not supervise their professional practice, does not direct or control the content of their Sessions, and is not vicariously liable for the acts or omissions of Professionals.
- 5.3 Each Professional is individually and contractually responsible for: (a) maintaining HPCSA registration in good standing; (b) maintaining valid professional indemnity insurance with minimum cover of ZAR 2,000,000 per claim, with international practice endorsement explicitly covering UK, US, and Israeli clients; (c) complying with their professional scope of practice; (d) the professional content and quality of their Sessions.
- 5.4 Each Professional is required to indemnify Shemesh for any claim arising from their delivery of Wellness Services. Claims arising from the professional conduct of a Professional should be brought against the Professional and/or their professional indemnity insurer, not Shemesh. Shemesh will, on reasonable request, provide a User with the contact details needed to bring such a claim.
- 5.5 Shemesh's curation of Professionals does not constitute an endorsement of any individual Professional's services, a representation of their suitability for you, or a guarantee of any particular standard of care.
- 5.6 If you have a complaint about a Professional's professional conduct, you may: (a) report it to Shemesh at info@shemesh-therapy.com; (b) report it directly to the HPCSA at www.hpcsa.co.za; (c) where applicable, contact the Professional's professional indemnity insurer directly.
- 5.7 Shemesh reserves the right to remove any Professional from the Platform at its absolute discretion.
6. SUBSCRIPTION, FEES, AND PAYMENT
B2C Direct Subscribers
- B2C Users subscribe to the Platform directly. Subscription pricing is set out on the Platform at the time of subscription.
- All payments are processed by Stripe. By subscribing you agree to Stripe's terms at stripe.com/legal. Shemesh does not store payment card details. Shemesh may place an authorisation hold or test charge of up to £1 / $1 / NIS 5 (or local-currency equivalent) on your payment method to verify validity. Any test charge is reversed once verified.
- Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with Clause 6.10 or 6.13.
- All Subscription Fees are stated inclusive of VAT, sales tax, or local equivalents where applicable.
Employer-Sponsored Users
- Employer-Sponsored Users access the Platform via Subscription or per-service basis paid by their Employer. The Employer is responsible for payment.
- If your Employer's subscription lapses, your access is suspended.
- Employer-Sponsored Users may be offered conversion to a B2C subscription at then-current rates after Employer access ends.
Payment Failures
- If a payment fails, Shemesh will notify you and your ability to book new Sessions will be suspended. Shemesh may retry per Stripe's standard schedule. If unpaid for more than 14 days, Shemesh may suspend or terminate your access.
Cancellation, Refunds, and Statutory Rights
- No refunds for delivered Sessions. Sessions already attended and delivered are non-refundable. Sessions purchased and not yet delivered remain available until the end of the current billing period, after which any unused Sessions expire without refund unless statutory cancellation rights apply.
- Cancellation — All Users. B2C Users on monthly Subscriptions may cancel at any time via: (a) In-Platform cancellation button — accessible in your account settings (one-click); (b) Email to info@shemesh-therapy.com. In compliance with US Federal Trade Commission Section 5 standards, applicable US state Automatic Renewal Laws, UK consumer law, and Israeli consumer law, cancellation is at least as easy as signup. Cancellation takes effect at the end of the current billing period.
- Price Changes. Shemesh may change Subscription Fees from time to time. We will give not less than thirty (30) days' written notice by email and/or in-Platform notification. If you do not agree to the new price, you may cancel before the new price takes effect without penalty. Continued use after the new price takes effect constitutes acceptance.
- Right to Cancel — Statutory Rights by Jurisdiction. (a) UK Consumers under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 have 14 days from the date of first subscription to cancel without giving any reason. If you request that Sessions begin within the cooling-off period, you acknowledge that you will lose your right to a full refund for Sessions already delivered during that period. (b) Israeli Consumers under the Israeli Consumer Protection Law 1981 have 14 days from the date of the transaction to cancel a distance contract without giving any reason. If you request that Sessions begin within this period, Shemesh may charge for Sessions actually delivered. Cancellation fees, if any, are capped at the lower of (i) 5% of the transaction value, or (ii) NIS 100, in accordance with Israeli law. Israeli consumer rights under the Consumer Protection Law are non-waivable and prevail over any conflicting provision of these Terms. (c) US Consumers: state law varies. Where applicable state law provides a statutory cooling-off period for distance or online services (for example, California's distance contract provisions), those rights apply. Shemesh complies with applicable US state Automatic Renewal Laws including, where applicable, the California, New York, Florida, Illinois, Oregon, and Vermont ARLs. To exercise any cancellation right, email info@shemesh-therapy.com or use the in-Platform cancellation button.
- Multi-Month Commitment Plans. If you sign up for a Multi-Month Commitment Plan (e.g. 3-month or 6-month plan) at a discounted monthly rate, you commit to the full term. The discounted price is offered in consideration of, and in reliance upon, your commitment to the full term. You may not cancel for convenience prior to the end of the term, except in accordance with your statutory rights under Clause 6.12.
- Early Termination Fee. If you cancel a Multi-Month Commitment Plan before the end of its term other than under your statutory rights, Shemesh may charge an Early Termination Fee equal to the difference between (a) the discounted monthly price paid, and (b) the standard month-to-month price, multiplied by the number of months remaining in the term. Illustrative example: 6-month plan at £400/month (vs £450/month month-to-month). Cancellation after 2 months: Early Termination Fee = £50 × 4 = £200. The Early Termination Fee represents a genuine pre-estimate of Shemesh's loss (specifically, the loss of the discount conditional on the committed term) and is not a penalty. Jurisdiction-specific limits: (a) UK Consumers: Early Termination Fee enforceable as drafted, subject to UK courts' assessment of reasonableness under Consumer Rights Act 2015 Schedule 2. (b) Israeli Consumers: Where the cancellation falls within the 14-day distance contract cooling-off period under Israeli law, the Early Termination Fee is capped at the lower of (i) 5% of transaction value or (ii) NIS 100, and Shemesh charges only for Sessions actually delivered. Outside the cooling-off period, the Early Termination Fee applies as drafted. (c) US Consumers: Early Termination Fee enforceable as drafted, subject to applicable state consumer protection law. By signing up for a Multi-Month Commitment Plan, you confirm you have read, understood, and accepted this clause.
- Auto-Renewal of Multi-Month Plans. At the end of a Multi-Month Commitment Plan term, your Subscription auto-renews for the same term length unless you cancel before the end of the current term by giving at least 7 days' written notice via your account settings or to info@shemesh-therapy.com. Shemesh will send a renewal reminder by email at least 14 days before each renewal (and additional reminders as required by applicable US state Automatic Renewal Laws).
Chargebacks and Disputed Payments
- Pre-Chargeback Contact. If you believe a charge is incorrect or a Session has not been delivered as agreed, you must first contact Shemesh at info@shemesh-therapy.com to attempt good-faith resolution before initiating any chargeback or payment dispute. Shemesh will respond to a good-faith dispute within five (5) Business Days.
- If you initiate a chargeback without first contacting Shemesh, or if a chargeback is found in bad faith (for example, where the Session was attended and delivered), Shemesh reserves the right to: (a) recover the disputed amount and any chargeback-related fees from you as a debt; (b) suspend or terminate your account; (c) report the matter to credit reference agencies where permitted; (d) recover its reasonable costs of responding.
- Nothing in Clauses 6.16 or 6.17 limits any statutory right you have as a Consumer, including under the Consumer Rights Act 2015, Section 75 of the Consumer Credit Act 1974, the Payment Services Regulations 2017, the Israeli Consumer Protection Law 1981, US federal or state consumer protection law, or applicable card-scheme rules.
7. PERMITTED AND PROHIBITED USE OF THE PLATFORM
Permitted Use
7.1 You may use the Platform solely for accessing emotional wellness Sessions for your personal, non-commercial wellness support.
Prohibited Conduct
7.2 You must not use the Platform in any way that:
- (a) violates any applicable law in the UK, USA, Israel, South Africa, or any other jurisdiction;
- (b) involves misrepresentation of your identity, age, or eligibility;
- (c) involves sharing your account login with any other person;
- (d) involves recording, transcribing, screenshotting, or reproducing any Session without the prior written consent of the Professional and Shemesh;
- (e) involves harassment, abuse, threats, or discriminatory conduct toward any Professional or other Platform user;
- (f) involves attempting to establish a personal, romantic, or commercial relationship with a Professional outside the Platform;
- (g) No Off-Platform Contact with Professionals. You must not contact, attempt to contact, or engage any Professional outside the Platform for the duration of your engagement and for twelve (12) months following the end of that engagement. This includes email, phone, social media, in-person meetings, or any other channel. Professionals are contractually prohibited from accepting off-platform contact or delivering services to you outside the Platform; if a Professional does so, the engagement is unauthorised and Shemesh accepts no responsibility for it.
- (h) Consequences of Off-Platform Contact. If you engage a Professional outside the Platform in breach of Clause 7.2(g), Shemesh may: (i) immediately terminate your account without refund; (ii) recover from you, as a debt, an amount equal to the Subscription Fees that would have been payable had those services been delivered via the Platform, calculated at Shemesh's then-current rates, for 12 months from the date of breach; (iii) seek injunctive relief; and (iv) pursue any other remedy at law or in equity. The amount recoverable under (ii) is a genuine pre-estimate of Shemesh's loss and is not a penalty.
- (i) involves uploading malicious code, viruses, or disruptive content;
- (j) involves reverse engineering, decompiling, or attempting to extract source code;
- (k) involves using the Platform for commercial purposes, resale, or third parties not covered by valid subscription;
- (l) involves circumventing security features;
- (m) involves automated tools, bots, or scripts;
- (n) involves using the Platform, content, Session metadata, or output to develop, train, or improve a competing platform or AI/ML model.
7.3 Shemesh may immediately suspend or terminate your account without notice for any breach of Clause 7.2.
8. PROFESSIONAL ASSIGNMENT AND SELECTION
- Shemesh assigns a curated shortlist of Professionals based on availability and stated preferences.
- You select your preferred Professional from the shortlist. Shemesh does not guarantee any particular Professional will remain available.
- Shemesh may modify the shortlist at any time without notice.
- If your selected Professional becomes unavailable, Shemesh will endeavour to provide a replacement within a reasonable period. If no suitable replacement is available within 10 Business Days, you may select an alternative from the pool or may be entitled to a proportionate credit at Shemesh's discretion.
- Vetting Limitations. Shemesh exercises reasonable care in vetting Professionals for HPCSA and SACSSP registration, professional indemnity insurance, and conduct at onboarding and at annual renewal. Shemesh does not guarantee: (a) accuracy of qualifications information; (b) suitability of any Professional for you; (c) continued validity of any Professional's insurance or HPCSA registration between renewals; (d) the professional standard of any individual Session. Users may verify HPCSA registration at www.hpcsa.co.za.
- Suitability is Your Responsibility. It is your responsibility to determine whether the selected Professional is suitable for you.
9. BOOKING, CANCELLATION, AND SESSION CONDUCT
- Sessions must be booked through the Platform.
- You must give at least 24 hours' notice to cancel or reschedule. Late cancellations or no-shows within 24 hours result in the Session being counted as used and no refund or credit will be provided.
- Sessions are conducted via live one-to-one video only. Sessions are not recorded by Shemesh. You must not record without explicit prior written consent.
- You are responsible for a private, appropriate Session environment, stable internet, and suitable device. Shemesh is not liable for confidentiality breaches arising from your setting, nor for disruptions arising from your equipment or connection.
- Sessions will not proceed if the Platform determines you are under 18 or accessing from a Restricted Jurisdiction.
- Shemesh and Professionals reserve the right to end a session immediately if a User: (a) behaves in a threatening, abusive, or discriminatory manner; (b) appears to be under the influence of substances to a degree that impairs safe engagement; (c) presents with an immediate clinical emergency requiring professional medical intervention; or (d) requests services outside the scope of emotional wellness support.

- Shemesh maintains a Safeguarding and Emergency Referral Protocol that all Professionals must follow. Professionals must immediately signpost Users to emergency services in cases of suicidal ideation, active intent to self-harm, disclosure of abuse, psychosis, or any situation indicating immediate risk.
- Professionals are not trained or authorised to provide crisis intervention, clinical risk assessment, or emergency counselling. Their obligation is to refer, not to intervene clinically.
- Lawful Disclosure in Emergencies. Disclosure to emergency services in a safeguarding situation is lawful under: (a) UK GDPR Article 9(2)(c) — vital interests; (b) Israeli PPL — protection of life and health; (c) US state law — duty-to-warn and emergency disclosure provisions applicable in the User's state. Such disclosure does not constitute a breach of confidentiality.
- Emergency contacts are set out in the table above (Clause 10.4).
- By using the Platform, you accept that Shemesh is not responsible for harm arising from a mental health emergency, except to the extent caused by Shemesh's own gross negligence or wilful misconduct.
11. INTELLECTUAL PROPERTY
- All intellectual property in the Platform is owned by or licensed to Shemesh and is protected under UK, US, Israeli, South African, and international IP law.
- You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform in accordance with these Terms.
- You may not reproduce, copy, modify, distribute, sell, or create derivative works from any part of the Platform without Shemesh's prior written consent.
- You retain ownership of personal data and content you upload.
- Materials and frameworks created by a Professional during their engagement vest in Shemesh as set out in the contractor agreement.
- User Content Licence. You may submit reviews, testimonials, suggestions, ideas, feedback, or other content ("User Content"). User Content does not include Session content, intake responses, or health/wellness data, which are governed by Clause 12 and the Privacy Policy. By submitting User Content, you grant Shemesh a worldwide, perpetual, irrevocable, royalty-free, non-exclusive licence to use, reproduce, modify, adapt, publish, and distribute that User Content on any platform and in any media, including for marketing purposes, with attribution at Shemesh's discretion. You warrant the right to grant this licence. You may withdraw a testimonial attributable to you at any time by emailing info@shemesh-therapy.com, and Shemesh will cease future use within a reasonable period.
12. DATA PROTECTION AND PRIVACY — MULTI-JURISDICTIONAL
- Shemesh processes personal data in accordance with its Privacy Policy, incorporated by reference and available at https://shemeshwellness.com/privacy-policy.
- Data Controller. Shemesh Therapy LLC is the data controller (UK GDPR, Israeli PPL) / business (CCPA/CPRA) in respect of personal data you provide or that is generated through your use of the Platform.
- UK Users — UK GDPR. (a) Shemesh has appointed Rickert Services Ltd UK as its UK GDPR Article 27 Representative: PO Box 1487, Peterborough, PE1 9XX | art-27-rep-shemesh@rickert-services.uk. (b) Session data may constitute Special Category Data (health data) under UK GDPR Article 9. By using the Platform you provide explicit consent for Shemesh to process such data for delivering the Wellness Services. (c) You have rights of access, rectification, erasure, restriction, portability, and objection. To exercise: info@shemesh-therapy.com with "Data Rights Request" in the subject. (d) You have the right to complain to the UK Information Commissioner's Office at ico.org.uk.
- Israeli Users — Israeli PPL Amendment 13. (a) Shemesh is subject to the Israeli Protection of Privacy Law 1981 as amended by Amendment 13, in respect of personal data of Israeli residents. (b) Session data relating to mental health constitutes Information of Special Sensitivity (ISS) under Amendment 13. By using the Platform you provide explicit, informed, granular consent to Shemesh processing such ISS for delivering the Wellness Services, as further detailed in the Privacy Policy. (c) Your rights under the Israeli PPL include: access; correction; deletion; objection to direct marketing; and complaint to the Israeli Privacy Protection Authority (PPA) at gov.il/he/departments/the_privacy_protection_authority. (d) Cross-border transfers of Israeli personal data — Shemesh transfers Israeli personal data to (i) the United States (cloud hosting infrastructure) and (ii) South Africa (Professionals). Such transfers are conducted under Israeli PPL data transfer requirements, including the recipient's commitment to maintain data protection standards equivalent to those required under Israeli law. (e) Shemesh has not appointed a Data Protection Officer (DPO) at this time on the basis that it does not currently meet the mandatory DPO thresholds under Amendment 13. Shemesh reviews this position regularly and will appoint a DPO if required by law.
- US Users — State Privacy Laws. (a) California Residents — CCPA/CPRA Rights: You have the right to know what personal information we collect; the right to delete personal information; the right to correct inaccurate personal information; the right to opt out of the sale or sharing of personal information; the right to limit the use and disclosure of sensitive personal information; and the right to non-discrimination for exercising your rights. Shemesh does not sell your personal information. To exercise CCPA rights, email info@shemesh-therapy.com with "California Privacy Rights Request" in the subject. (b) Other US State Residents (Virginia, Colorado, Connecticut, Utah, Texas, Oregon, Montana, and other states with comprehensive privacy laws): you have similar rights to those of California Residents under your state's privacy law. To exercise: info@shemesh-therapy.com with "[State] Privacy Rights Request" in the subject. (c) No HIPAA. As stated in Clause 4.9, Shemesh is not a HIPAA Covered Entity and HIPAA does not apply to the Wellness Services.
- Data Hosting and International Transfers. Your personal data is hosted on US-based servers (AWS, Google Cloud, Vercel, or Microsoft Azure). Transfers are subject to: (a) UK → US: UK International Data Transfer Agreements (IDTAs) and Transfer Risk Assessments; (b) UK → SA: UK IDTAs as South Africa is not on the UK adequacy list; (c) Israel → US and SA: transfer mechanisms compliant with Israeli PPL Amendment 13 cross-border transfer requirements; (d) US users: disclosure of cross-border processing as required by applicable state law.
- Employer-Sponsored Users: your Employer may be a separate data controller. Please refer to your Employer's privacy notice.
- No Sale of Personal Data. Shemesh does not sell your personal data. Data is shared only with Professionals (to deliver Sessions), Stripe (to process payments), and infrastructure providers, as set out in the Privacy Policy.
13. CONFIDENTIALITY OF SESSIONS
- Professionals are contractually bound to maintain confidentiality of all Session content and personal information.
- Confidentiality obligations do not apply where: (a) disclosure is required by law or court order; (b) disclosure is necessary to protect life (see Clause 10.3); or (c) you have provided explicit written consent.
- Sessions are not recorded by Shemesh. You must not record Sessions without prior written consent. Shemesh accepts no liability for unauthorised recordings made by a User.
- You agree to maintain the confidentiality of proprietary information disclosed during Sessions.
- Mutual Non-Contact. Professionals are contractually prohibited from contacting Users outside the Platform, accepting off-platform contact, or delivering Wellness Services outside the Platform. Users are similarly bound under Clause 7.2(g)–(h).
14. DISCLAIMERS AND LIMITATION OF LIABILITY

- 14.1 Platform "As Is". Shemesh provides the Platform on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Shemesh makes no representations or warranties, express or implied, regarding the Platform, the Wellness Services, the suitability of any Professional, or any outcome.
- 14.2 No Liability for Professional Conduct. Because Professionals are independent contractors and not employees or agents of Shemesh, Shemesh shall not be liable (in contract, tort, negligence, statutory duty, or otherwise) for: (a) the content, advice, conduct, or professional judgement of any Professional during a Session; (b) any clinical, therapeutic, or healthcare outcome arising from any Session; (c) any decision you make in reliance on anything discussed in a Session; (d) any deterioration in your mental or physical health arising from your use of the Platform; (e) any failure by a Professional to identify, refer, or respond to a clinical emergency; (f) any act or omission of any Professional in their professional capacity. Claims arising from the professional conduct of a Professional should be brought against the Professional and/or their professional indemnity insurer, as set out in Clause 5.4.
- 14.3 No Liability for Platform Interruptions and Third Parties. Shemesh shall not be liable for: (a) interruption, suspension, or termination of the Platform; (b) unauthorised access to your account due to your failure to maintain security; (c) acts or omissions of third-party service providers (Stripe, video infrastructure, cloud hosting); (d) failure of video, internet, or device technology outside Shemesh's reasonable control; (e) any Force Majeure Event.
- 14.4 Aggregate Liability Cap. Shemesh's total aggregate liability to you (in contract, tort, negligence, breach of statutory duty, or otherwise) for any and all claims arising under or in connection with these Terms, the Platform, or the Wellness Services shall be limited to the lesser of: (a) the total Subscription Fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) £5,000 / $6,500 / NIS 25,000 (whichever applies based on your jurisdiction of residence).
- 14.5 Excluded Losses. Shemesh shall not be liable for any indirect, special, consequential, exemplary, or punitive damages, loss of profits, business, opportunity, reputation, or data, except where excluded by applicable mandatory law.
- 14.6 Non-Excludable Liability. Nothing in these Terms excludes or limits Shemesh's liability for: (a) death or personal injury caused by Shemesh's own negligence; (b) fraud or fraudulent misrepresentation; (c) any liability not lawfully excludable under: (i) UK Consumer Rights Act 2015 (UK Consumers); (ii) Israeli Consumer Protection Law 1981 (Israeli Consumers); or (iii) applicable US state consumer protection law (US Consumers).
- 14.7 Insurance-Backed Cap. The liability caps in this Clause 14 are intended to align with Shemesh's available insurance cover. Shemesh maintains professional liability, technology errors & omissions, cyber liability, and directors & officers insurance appropriate to the operation of the Platform. Nothing in these Terms requires Shemesh to maintain any particular level of insurance, and the liability caps apply regardless of the insurance actually in force at the time of a claim.
- 14.8 Employer-Sponsored Users. For Employer-Sponsored Users, Shemesh's liability is also governed by the Master Services Agreement between Shemesh and the relevant Employer. To the extent of conflict, the Master Services Agreement prevails as between Shemesh and the Employer but shall not reduce your individual Consumer rights.
- 14.9 Allocation of Risk. The disclaimers and limitations in this Clause 14 reflect a reasonable and fair allocation of risk and form an essential basis of the bargain.
15. YOUR INDEMNITY TO SHEMESH
- You agree to indemnify, defend, and hold harmless Shemesh Therapy LLC and its members, officers, directors, employees, agents, and Professionals from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of:
- your breach of these Terms;
- your misuse of the Platform or Wellness Services;
- false or misleading information you provided;
- your infringement of any third-party right;
- your breach of Clause 7.2, including off-platform contact;
- any claim brought against Shemesh by your Employer arising from your individual conduct.
- This indemnity is in addition to, and does not limit, any other right or remedy available to Shemesh.
16. SUSPENSION AND TERMINATION
- By You. You may close your account at any time via: (a) in-Platform cancellation button (one-click); or (b) email to info@shemesh-therapy.com. Closure takes effect within 5 Business Days. Subscription cancellation per Clauses 6.10 / 6.13–6.14.
- By Shemesh. Shemesh may suspend or terminate access immediately if: (a) you breach any material provision of these Terms; (b) Shemesh reasonably believes your use poses a risk of harm; (c) you provide false information; (d) you fail to pay applicable Fees; (e) you violate sanctions, anti-money-laundering, or export-control rules; (f) Shemesh is required to do so by law.
- By Shemesh for Convenience. Shemesh may terminate on 30 days' written notice for any reason and will provide a pro-rata refund of prepaid fees for the remaining period.
- Survival. The following Clauses survive termination: 4, 5, 6.14 (Early Termination Fee), 6.16–6.18 (Chargebacks), 7.2(g)–(h) (Off-Platform Contact), 11, 12, 13, 14, 15, 17, 19.
- On termination, Shemesh deletes or anonymises personal data per the Privacy Policy.
17. GOVERNING LAW AND DISPUTE RESOLUTION — FOUR-TIER SYSTEM
- 17.1 Governing Law — UK Consumers. If you are a UK Consumer, these Terms are governed by the laws of England and Wales. Nothing in these Terms deprives you of the protection of any mandatory provision of the law of your country of habitual residence.
- 17.2 Governing Law — Israeli Consumers. If you are an Israeli Consumer, these Terms are governed by the laws of the State of Israel. Nothing in these Terms deprives you of the protection of any mandatory provision of Israeli consumer or privacy law.
- 17.3 Governing Law — US Consumers. If you are a US Consumer, these Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, except that mandatory non-waivable consumer protection law of your state of residence (including but not limited to applicable state automatic renewal laws and privacy laws) shall apply where it would otherwise prevail.
- 17.4 Governing Law — All Other Users. If you are not a Consumer habitually resident in the UK, Israel, or the USA (including all Employers, business clients, partners, and contractors), these Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules.
- 17.5 Jurisdiction — UK Consumers. UK Consumers may bring proceedings against Shemesh in the courts of England and Wales or in the courts of their country of habitual residence. Shemesh may bring proceedings against UK Consumers only in the courts of their country of habitual residence.
- 17.6 Jurisdiction — Israeli Consumers. Israeli Consumers may bring proceedings against Shemesh in the competent courts of the State of Israel for any matter involving non-waivable Israeli consumer or privacy law. For all other matters, Israeli Consumers may bring proceedings in either the courts of Israel or, at the User's option, in arbitration under Clause 17.8. Shemesh may bring proceedings against Israeli Consumers only in the courts of their country of habitual residence.
- 17.7 Jurisdiction — US Consumers. US Consumers may bring proceedings: (a) in the courts of their state of residence for any matter involving non-waivable state consumer protection law; or (b) for all other matters, by arbitration under Clause 17.8.
- 17.8 Mandatory Arbitration — Non-Consumer Disputes and US/Israeli Disputes Outside Consumer Protection. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof, where the User is not a UK Consumer (including disputes with Employers, business clients, partners, contractors, US Consumers outside the scope of Clause 17.7(a), and Israeli Consumers outside the scope of Clause 17.6 first sentence), shall be settled by arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitration shall be conducted: (a) by a single arbitrator; (b) in the English language; (c) with the seat of arbitration in Wilmington, Delaware, USA, or such other US location as the parties agree; (d) under the AAA Commercial Arbitration Rules in effect at the time the arbitration is commenced.
- 17.9 Mandatory Pre-Action Negotiation. Before commencing any legal proceedings or arbitration, both parties agree to attempt in good faith to resolve any dispute through written negotiation for thirty (30) days following written notice sent to info@shemesh-therapy.com or to the User's registered email.
- 17.10 Injunctive Relief. Nothing in this Clause 17 prevents either party from applying to any court of competent jurisdiction for urgent injunctive or equitable relief, including in respect of intellectual property, confidential information, or breach of Clause 7.2.
- 17.11 Class Action Waiver. Where Clause 17.8 applies (non-UK Consumer disputes), the parties agree that arbitration shall be conducted on an individual basis only and not as a class, collective, or representative action. This Clause is enforceable under the US Federal Arbitration Act and applicable law in each non-UK jurisdiction to the maximum extent permitted by such law. This Clause does not apply to UK Consumers or limit any non-waivable statutory right.
- 17.12 Consumer ADR. UK Consumers may access the UK Online Dispute Resolution platform and Citizens Advice (citizensadvice.org.uk). Israeli Consumers may access the Israeli Consumer Protection and Fair Trade Authority. US Consumers may contact their state Attorney General's consumer protection office.
18. FORCE MAJEURE
- Shemesh is not liable for any failure or delay arising from a Force Majeure Event.
- Shemesh will notify you as soon as practicable and use reasonable endeavours to resume normal service.
- If a Force Majeure Event continues for more than 30 consecutive days, either party may terminate the Subscription on written notice. Shemesh will provide a pro-rata refund for the period of non-delivery.
19. GENERAL PROVISIONS
- Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and any applicable Order Form, constitute the entire agreement.
- Severability. If any provision is found invalid, it shall be modified to the minimum extent necessary, or severed. Remaining provisions continue in full force.
- No Waiver. Shemesh's failure to enforce any provision does not constitute a waiver.
- Assignment. You may not assign without Shemesh's prior written consent. Shemesh may assign to any successor or in connection with business restructuring, provided that the assignment does not reduce your Consumer rights.
- Third Party Rights. These Terms do not confer rights on any third party under the Contracts (Rights of Third Parties) Act 1999 or similar laws, except that Shemesh's officers, members, agents, and Professionals may rely on Clauses 14 and 15.
- Notices. All formal notices in writing to info@shemesh-therapy.com (to Shemesh) or to your registered email (to you).
- Language. Drafted in English. The English version prevails over any translation.
- Relationship. No partnership, joint venture, agency, or employment relationship.
- Regulatory Compliance. Shemesh may modify the Platform or these Terms to comply with applicable law without liability.

- I understand that Shemesh is a technology platform and that Wellness Services are delivered by independent contractor Professionals, not by Shemesh.
- I understand that this Platform provides emotional wellness sessions only and is not a clinical, medical, or therapy service in any jurisdiction.
- I have read and understood the Privacy Policy and consent to the processing of my personal data, including Special Category Data (UK), Information of Special Sensitivity (Israel), or sensitive personal information (USA) as applicable.
- I consent to the transfer of my personal data to South Africa and the United States subject to appropriate transfer safeguards.
- I acknowledge Sessions are not recorded by Shemesh and that I must not record Sessions without consent.
- I understand emergency procedures (Clause 4.10 and 10.4).
- If I have selected a Multi-Month Commitment Plan, I have read and understood Clauses 6.13–6.14 and accept that I am committing to the full plan term.
